1.Introduction

eeZee PAY is a payment transaction system anddigital market place for consumers and merchants to trade goods and services.It is owned and operated by Seapen AS in Norway, hereinafter referred to as Seapen. Through its operating companies in United Kingdom,Norway, and Sweden, Seapen offers mobile payment solutions for the eeZeePAY apps, eeZee POS, eeZee PAY and eeZee TAXI (including branded eeZee TAXIapps) and Seapen POS, hereinafter referred to as eeZee-PAY Seapen AS

2.General
eeZee PAY is a digital payment and product salesservice eeZee PAY offered by Seapen, that electronically stores your selectedaccount data, payment information in one convenient place and transmits that informationat your request to participating merchants that display eeZee PAY checkoutbutton on their website, mobile site, smart device application, for in appproduct sales, or in-person point of sales terminal.These Terms of Use (TOU) and eeZee PAY Privacy Policy (PrivacyPolicy) and, together with these TOU, these (Terms) are a legal agreement between you and Seapen.BY REGISTERING AS AN EEZEE PAY MEMBER, WHICH INCLUDES CLICKING TO ACCEPT THESETERMS, YOU AGREE TO ALL OF THE TERMS AND CONDITIONS IN THESE TERMS, AND ALLOTHER RULES, POLICIES AND PROCEDURES RELATING TO EEZEE PAY AND THAT Seapen MAYPROVIDE YOU FROM TIME TO TIME (AS DESCRIBED IN THESE TERMS).  YOUALSO AGREE TO COMPLY WITH THE TERMS, CONDITIONS AND PROVISIONS OF THE ISSUER(S)OF YOUR CARD(S) (AS DEFINED BELOW).(You) (and all of its derivations) means youindividually and any person acting as your agent, under your authority, or withyour permission, and if you are accepting these Terms on behalf of a company orother legal entity, then that legal entity. You represent and warrant that youare: (i) at least 18 years of age (or the minimum age in your jurisdiction forentering into a binding contract) or, (ii) capable of entering into a legallybinding agreement, and (iii) a legal resident of one of the countries whereeeZee PAY is accepted. If you are entering into these Terms on behalf of acompany or other legal entity, you further represent and warrant that: (x) youhave the authority to bind the legal entity, (y) such legal entity is authorizedto conduct business in the jurisdiction(s) in which you operate, and (z) allemployees, officers, agents, and other representatives of the legal entity whouse your eeZee PAY membership are duly authorized to access it and to engage intransactions using your eeZee PAY member account. IF YOU DO NOT AGREE TO THESETERMS, YOU MUST NOT REGISTER FOR AN EEZEE PAY ACCOUNT OR USE EEZEE PAY.If you use eeZee PAY on behalf of a company orother entity these Terms provide that all disputes between you and Seapen willbe resolved by BINDING ARBITRATION. YOU AGREE TO GIVE UP YOUR RIGHT TO GO TOCOURT to assert or defend your rights under this contract, except for mattersthat may be taken to small claims court. Your rights will be determined by aNEUTRAL ARBITRATOR and NOT a judge or jury, and your claims cannot be broughtas a class action.Please review Section 26 (Dispute Resolution andArbitration) for the details regarding your agreement to arbitrate any disputeswith Seapen. This clause shall not apply if you are using eeZee PAY as aconsumer. 

3.Setting Up Your eeZee PAY account
You may register for an eeZee PAY account byproviding Seapen with the information set forth on eeZee PAY registrationpages, including (and where applicable) a valid email address and mobile phonenumber, security question/answer, sign-in message, and password. You may thenstore payment information (card number and expiration date), billinginformation and other information for your credit, debit, and reloadableprepaid cards (Cards), rewards cards (RewardsNumbers) supported by eeZee PAY (as indicated on theregistration pages), and your preferred shipping information. All of theinformation for your Cards, Rewards Numbers, and shipping information arecollectively referred to in these Terms as your (PaymentInformation).” 

4.Protecting and updating your account·      
PasswordYou are responsible for keeping your eeZee PAYpassword secure and for all activities that occur through or by usage of eeZeePAY, including the activities of others (whether or not the activities areauthorized). You must immediately notify Seapen of unauthorized access to oruse of your eeZee PAY account. Seapen reserves the right to require you tochange any of your passwords if Seapen believes they are no longer secure.Neither Seapen nor its agents will be liable for any loss or damages of anykind that may arise as a result of the unauthorized access to or use of youreeZee PAY membership account or any Payment Information (with or without yourknowledge), except to the extent the foregoing limitation is prohibited underapplicable law.·      Maintainingup-to-date informationYou are solely responsible for maintainingup-to-date and accurate information pertaining to your eeZee PAY account,including all Payment Information. Seapen has no responsibility for theauthenticity, validity, accuracy, or completeness of the Payment Information Seapentransmits on your behalf. 

5. Using your eeZee pay membership account·      
GeneralWhen you click the (Finish Shopping) (or similar)button in eeZee PAY app or on the site of another eeZee PAY-connected account, Seapenwill transmit your selected Payment Information to eeZee PAYMerchant.  After eeZee PAY Merchant receives your PaymentInformation, it will submit the transaction for processing.·      Connectwith eeZee PayeeZee PAY may provide you the opportunity to connect youreeZee PAY account to certain merchants you select to allow for a fastercheckout via two methods. You will be provided one option during check-out onan eeZee PAY Merchant website or application.  After you havereviewed and confirmed your order details during checkout, a screen will appearproviding you the option to connect your eeZee PAY account with eeZee PAYMerchant. The second option to connect is by clicking on the (Connect witheeZee PAY) button on an eeZee PAY Merchant website or application. You willthen have the opportunity to approve connecting your chosen eeZee PAY Accountto a specific eeZee PAY Merchant. Once your account is connected to an eeZeePAY Merchant, by clicking the (Buy with eeZee PAY) button on that merchant’swebsite or application, you will see your relevant Payment Information and onlyneed to log-into your eeZee PAY Account to complete the transaction.·      ExpresscheckoutCertain eeZee PAY Merchants may provide you theoption of an (Express Checkout) which allows you to check out without logginginto your eeZee PAY if you are logged into eeZee PAY Merchant’s website. If aneeZee PAY Merchant provides Express Checkout, you will be notified during theprocess of connecting your account and will have the opportunity to allow ordecline connecting you eeZee PAY account for Express Checkout. If you enableExpress Checkout at an eeZee PAY Merchant and are logged into that Merchant’swebsite or application, you can complete your transaction by clicking the (Buywith eeZee PAY) button during checkout. You may disconnect your account fromany eeZee PAY Merchant at any time from the Connections page in the accountsettings of your eeZee PAY Account·      Transactionwith eeZee pay merchantEach purchase or payment that you make using youreeZee PAY account is a contractual relationship directly between you and eeZeePAY Merchant, and eeZee PAY Merchant’s terms and conditions will govern allaspects of that business transaction. Seapen is only handling paymentprocessing and has no liability to you or eeZee PAY Merchant with respect tothe business transaction. 

6. Useof your payment information
·      YourresponsibilitiesEach purchase or payment that you make using youreeZee PAY account is a contractual relationship directly between you and eeZeePAY Merchant, and eeZee PAY Merchant’s terms and conditions will govern allaspects of that business transaction. Seapen is only handling paymentprocessing and has no liability to you or eeZee PAY Merchant with respect tothe business transaction.
·      Seapen isnot a card issuerSeapen is not a bank or a money services businessas defined by the PCI Security Standards Council, the European Central Bank, orthe United States Department of Treasury and does not offer those services. Seapendoes not issue Cards or Rewards Numbers of any kind.  Any and allquestions or issues regarding any of your Cards or Rewards Numbers should bedirected to the bank or financial institution that issued your Card, or theparty offering the Rewards Numbers, as applicable, and not to Seapen. SeapenMAKES NO REPRESENTATIONS THAT YOUR CARDS OR REWARDS NUMBERS ARE VALID OR INGOOD STANDING OR THAT THE PARTIES WHO ISSUED YOUR CARDS OR REWARDS NUMBERS WILLAPPROVE OR HONOR YOUR REQUESTED TRANSACTIONS.
·      Resolutionsof transaction issuesIf you have any concerns with respect to anytransaction made using eeZee PAY, you must contact the Seapen Merchant withwhich you entered into that transaction. You may also have certain rights andprotections under your agreement with the bank or financial institution thatissued your Card or under applicable law with respect to the charges fortransactions made to your registered Cards. Consult your agreement with yourCard issuer for details and applicable laws. 

7. Grantof licence
·      eeZee PaylicenceSo long as you comply with these Terms, Seapengrants you a limited, nonexclusive, as-is, revocable, non-transferable license,without right of sublicense, to use eeZee PAY solely for the purpose of storingand transmitting your Payment Information to eeZee PAY Merchants
·      Mobile applicenceSo long as you comply with these Terms, Seapengrants you a limited, as-is, non-exclusive, non-transferable,non-sublicenseable, revocable license to the Mobile App downloaded directlyfrom eeZee PAY site or from a legitimate marketplace (such as the Apple Storeor Google Play), solely in object code format, for your personal use for lawfulpurposes, on a single compatible mobile device you own or control, and toaccess and use your eeZee PAY account in accordance with these Terms. You maynot reproduce, distribute, publicly display, or publicly perform the MobileApp. You may not use the Mobile App for any purpose other than a purpose forwhich the Mobile App is expressly designed. The term Mobile App, as used inthese Terms, includes any update or modification to the Mobile App madeavailable to you by Seapen (unless provided with separate terms). If you areprohibited under applicable law from using the Mobile App, you may not use it.In addition, You shall especially further agree to the following acceptable useterms.Prohibited Conduct . You shall not use eeZee PAYapp for any other purpose that what it is designed for and shall not:decompile,reverse engineer, or otherwise access or attempt to access the source code forthe Mobile App or otherwise relating to eeZee PAY, or make or attempt to makeany modification to the Mobile App or eeZee PAY (except to the extent theforegoing prohibition is not permitted under applicable law);gainaccess to or use Seapen’s services or systems, or eeZee PAY other than aspermitted under these Terms, or damage, disrupt, or impede the operation of Seapen’sservices or systems;useeeZee PAY in connection with any fraudulent or illegal conduct, transaction, orbusiness, as determined by Seapen in its sole discretion;registerfor an eeZee PAY account by automated means or under false or fraudulentpretences;interferewith, circumvent, or modify any security mechanism used by or on behalf of Seapen,including in the Mobile App;useor launch any automated system, including (robots,) (spiders,) or (offlinereaders,) to access eeZee PAY;actas a payment intermediary, aggregator, or service bureau yourself or on behalfof any third party, including handling, processing, or transmitting funds forany third party;(rent,lease, loan, trade, sell, re-sell, or otherwise charge any party for access toeeZee PAY;transmitany viruses, worms, defects, Trojan horses, or any programming of a destructivenature; orattemptto do any of the foregoing acts, or assist or permit any person in engaging inany of the foregoing acts.Compliance with Law.Youmust comply with all applicable international, federal, state, and local laws,rules, regulations, directives, and governmental requirements relating to youruse of eeZee PAY. Seapen may, in its sole discretion, accept or reject yourrequest to register an eeZee PAY membership account and may disable orotherwise suspend access to your eeZee PAY account or to any PaymentInformation within your eeZee PAY account at any time for any reason or noreason whatsoever, including if Seapen suspects fraud or illegal, unauthorizedor improper conduct. 
8. Textmessage and carrier fees
·      TextmessagesWhen you register for an eeZee PAY account, youagree to receive various notices in the form of text messages sent to yourmobile phone.  By registration, you expressly agree and consent toreceive those text messages.  Your standard messaging, airtime, anddata rates will apply. The number of messages you will receive each month willvary according to the number of transactions you make and the preferences youselect during the registration process. You may change your preferences at anytime by logging in to your eeZee PAY account and editing your preferences inyour account settings.·      Message maybe delayedIf your mobile phone is off, out of range, orsubject to a variety of other conditions, you may not receive all messages ormessages may be delayed.  Cellular and other wireless transmissionservices and networks are inherently insecure and subject to servicedisruptions, weak or dropped signals, and other failures over which Seapen hasno control.  Seapen ASSUMES NO RESPONSIBILITY OR LIABILITY FOR ANYDELAYS OR FAILURE TO RECEIVE TEXT MESSAGES OR OTHER MOBILE-BASED INFORMATION ORANY SECURITY BREACHES RELATED TO ANY OF THE FOREGOING.·      CarrierfeesYou are responsible for any fees and penaltiescharged by your telecommunications provider or any other third party inconnection with your use of eeZee PAY on your mobile device. 

9.Modifications to eeZee pay
·      Fees andchargesWhile Seapen currently makes eeZee PAY availablefree of charge, Seapen may in the future charge for eeZee PAY (or anyadditional features or functionality) at any time, in its sole discretion, andwill notify you in advance of such future charges to the extent required underapplicable laws. On receiving notice of such charges, you will be given areasonable time in which to cancel your use of eeZee PAY and the Mobile Appwithout charge. Seapen may also discontinue, modify, or change eeZee PAY, or Seapen’sservices and systems at any time and will notify you in advance of suchdiscontinuance, modification, or change to the extent required under applicablelaws. These changes may require you to update your Payment Information or otherinformation related to your eeZee PAY account in order to continue using eeZeePAY. Seapen will not have any liability or obligation to you with regard to anymodifications or changes it makes to eeZee PAY, or Seapen’s services orsystems.·      Modificationsto these termsSeapen may, at any time and from time-to-time,change the terms of these Terms or provide other disclosures or noticesregarding eeZee PAY by posting them on eeZee PAY website or Mobile App,delivering them to you through eeZee PAY or emailing them to you at the emailaddress associated with your eeZee PAY account. You will be deemed to havereceived those disclosures and notices within twenty-four (24) hours after Seapenposts or delivers them or emails them to you.  If you do not acceptthose revisions to these Terms or other disclosures or notices regarding eeZeePAY, your only recourse is to stop using eeZee PAY and the Mobile App andterminate your account. Your continued use of eeZee PAY and/or the Mobile Appafter such effective date will constitute your acceptance of the revisions thatapply to that service. 

10.Feedback
From time to time, Seapen may ask you for (or youmay independently provide Seapen with) your feedback, suggestions, comments, orideas (collectively (Feedback) on eeZee PAY or other Seapen products or services,but you are not required to provide us with any Feedback.  You agreethat Seapen may use and exploit all Feedback you provide for any purposewithout obligation of any kind and without any obligation of confidentiality,attribution, accounting, compensation, or other duty to account to you. 

11.Ownership and rights
As between you and Seapen, Seapen owns and retainsall right, title, and interest, including all intellectual property rights, inand to (a) eeZee PAY, including eeZee PAY accounts; (b) the Mobile App; and (c)Seapen’s systems and services (collectively, (SeapenProperty). Seapen, its licensors, or third party partnersown and retain all right, title, and interest in all names, trade names,trademarks, service marks, slogans, logos, domain names, or other indicia of Seapenor its licensors or third party partners used in connection with eeZee PAY,including (eeZee PAY,) (eeZee PAY Mobile Apps,) (eeZee PAY-connected Wallets,)(eeZee PAY Online,) eeZee PAY Checkout Button logo, and (eeZee PAY CheckoutServices) (Trademarks).  You have no right to use any Trademark in any manner withoutthe advance written permission of the owner of that Trademark. Seapen reservesall rights in the Seapen Property and Trademarks not expressly granted to youin these Terms. 

12.Products and services offered by eeZee pay merchantsEach purchase through eeZee PAY of a product orservice offered by an eeZee PAY Merchant is subject to eeZee PAY Merchant’sspecific terms and conditions, which are set forth in the full description ofthe product or service and is a contractual relationship directly between youand eeZee PAY Merchant. The inclusion of an eeZee PAY Merchant’s products orservices in any product, service, or technology that allows or requires you tocheckout with your eeZee PAY account does not constitute any approval, endorsement,or warranty by Seapen of the products or services or of eeZee PAY Merchantoffering them. 

13.Third party siteseeZee PAY may contain third party content and linksto third party sites or popups served by or on behalf of third parties that areindependent of eeZee PAY and not owned or controlled by Seapen (ThirdParty Sites). Links toThird Party Sites are included, and popups served by or on behalf of thirdparties are facilitated, solely for the convenience of users and do notconstitute any approval, endorsement, or warranty by Seapen. Moreover, Seapenis not responsible for the content, security, operation, or use of any ThirdParty Sites or the products or services that may be offered or obtained throughthem or for the accuracy, completeness, or reliability of any informationobtained from a Third Party Site. When you click on a link to or in a popup ofa Third Party Site, you will leave the services controlled by Seapen. Anypersonal information you submit after you leave eeZee PAY will not be collectedor controlled by Seapen. It will be subject to the privacy notice or terms ofuse applicable to the Third Party Site. It is your responsibility to reviewthose policies before submitting your information to the Third Party Site andyou provide your information at your own risk. YOU EXPRESSLY RELIEVE SeapenFROM ANY AND ALL LOSS, DAMAGES OR OTHER LIABILITIES YOU INCUR AS A RESULT OFYOUR ACCESS TO OR USE OF ANY THIRD PARTY SITE.

14.Privacy
Seapen recognizes the importance of respecting yourprivacy.  The Privacy Policy provides a description of how Seapencollects, uses, shares, and protects your personal information related to eeZeePAY, as well as the choices and access rights you have in regard to yourpersonal information. 

15. YourrepresentationYou represent and covenant that (a) the informationyou provide to Seapen in connection with your registration for an eeZee PAYaccount is true and correct and you will keep it accurate and up-to-date at alltimes; and (b) you will comply with these Terms and all applicable local,state, federal, and international laws, rules, and regulations in connectionwith your use of eeZee PAY. 

16.Indemnification
You agree to indemnify and hold harmless Seapen andits business partners, and its and their officers, directors, employees,representatives and affiliates (the (IndemnifiedParties) from and against any and all claims, liabilities,damages (actual and consequential), losses, fines, and expenses (includinglegal and other professional fees and costs of investigation) arising from orin any way related to (a) your use of eeZee PAY; (b) your (or anyone using youreeZee PAY account) breach of these Terms or applicable law; (c) your negligenceor willful misconduct; (d) any dispute between you and a third party, includingany eeZee PAY Merchant or financial institutions; or (e) your violation of anythird party’s rights, including any intellectual property rights. 

17.Disclaimer of warranties
·      GeneraldisclaimerEEZEE PAY IS PROVIDED (AS IS,) (AS AVAILABLE,) ANDWITH ALL FAULTS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE INDEMNIFIEDPARTIES DISCLAIM ALL WARRANTIES, CONDITIONS AND TERMS EXPRESS OR IMPLIED,INCLUDING ANY WARRANTIES OF MERCHANTABILITY, QUALITY OF INFORMATION, QUIETENJOYMENT, NON-INFRINGEMENT, TITLE, OR FITNESS FOR A PARTICULAR PURPOSE. SeapenDOES NOT WARRANT THAT THE INFORMATION CONTAINED IN EEZEE PAY (INCLUDING ANYINFORMATION RELATED TO A EEZEE PAY MERCHANT’S PRODUCTS OR SERVICES) OR ON ANYTHIRD PARTY SITE WILL BE ACCURATE OR COMPLETE, OR THAT EEZEE PAY OR ANY THIRDPARTY SITE WILL BE ERROR FREE, UNINTERRUPTED, FREE FROM SPYWARE, MALWARE,ADWARE, VIRUSES, WORMS, OR OTHER MALICIOUS CODE, OR WILL FUNCTION TO MEET YOURREQUIREMENTS. Seapen DOES NOT WARRANT THAT EEZEE PAY WILL WORK ON YOURHARDWARE, WITH YOUR OPERATING SYSTEMS, OR WITH ANY OTHER SOFTWARE INSTALLED ONYOUR COMPUTERS OR MOBILE DEVICES. INFORMATION OBTAINED BY YOU FROM Seapen WILLNOT CREATE ANY WARRANTIES. IT IS YOUR SOLE RESPONSIBILITY TO DETERMINE WHETHEREEZEE PAY IS SUITABLE AND ADEQUATE FOR YOUR NEEDS·      Disclaimerregarding transactionYOU SPECIFICALLY ACKNOWLEDGE THAT Seapen DOES NOTHAVE ANY CONTROL OVER YOUR TRANSACTIONS USING PAYMENT INFORMATION TRANSMITTEDBY EEZEE PAY ON YOUR BEHALF, AND Seapen CANNOT ENSURE THAT ALL TRANSACTIONSWILL BE COMPLETED OR THAT THE PERSON WHO HAS ISSUED YOUR CARD OR REWARDSNUMBER, AS APPLICABLE, WILL AUTHORIZE THE TRANSACTIONS THAT YOU INITIATE. 

18.Limitation of liability
·      LimitationTO THE EXTENT PERMITTED BY APPLICABLE LAW, IF YOUUSE EEZEE PAY ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY REGARDLESS OFWHETHER ANY REMEDY IN THESE TERMS FAILS OF ITS ESSENTIAL PURPOSE OR OTHERWISE,THE INDEMNIFIED PARTIES ARE NOT AND WILL NOT BE LIABLE TO YOU FOR ANY DIRECT,INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR ANY OTHER DAMAGESWHATSOEVER, INCLUDING ANY PROPERTY DAMAGE, LOSS OF USE, LOSS OF BUSINESS,ECONOMIC LOSS, LOSS OF DATA, OR LOSS OF PROFITS, WITHOUT REGARD TO THE FORM OFACTION (INCLUDING CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTIONS) ARISING OUTOF OR IN CONNECTION WITH (A) THESE TERMS; (B) EEZEE PAY, INCLUDING YOUR USE OFEEZEE PAY IN COMBINATION WITH ANY THIRD PARTY APPLICATION; (C) ANY INTERRUPTIONIN SERVICE RELATED TO EEZEE PAY; (D) ANY CARD, REWARDS NUMBER, OR THIRD PARTYSITE; (E) ANY PRODUCT OR SERVICE OBTAINED THROUGH A TRANSACTION EXECUTED USINGPAYMENT INFORMATION TRANSMITTED BY EEZEE PAY; (F) THE ACTIONS OR INACTIONS OFANY EEZEE PAY MERCHANT; (G) YOUR USE OF YOUR MOBILE DEVICE, INCLUDING ANY LACKOF ATTENTION TO YOUR SURROUNDINGS RESULTING FROM SUCH USE; OR (H) THEUNAUTHORIZED ACCESS BY ANY PARTY TO Seapen’S SERVICES AND SYSTEMS, INCLUDINGPERSONAL DATA,  EVEN IF ANY OF THE INDEMNIFIED PARTIES HAS BEENADVISED OF THE POSSIBILITY OF THOSE DAMAGES. YOU WAIVE ANY AND ALL CLAIMS, NOWKNOWN OR LATER DISCOVERED, THAT YOU MAY HAVE AGAINST THE INDEMNIFIED PARTIESARISING OUT OF YOUR USE OF EEZEE PAY, YOUR MOBILE DEVICE OR THESE TERMS.WITHOUT LIMITING THE FOREGOING, Seapen IS NOT RESPONSIBLE FOR ANY ERRORS IN ANYREWARDS NUMBER DETAILS, DESCRIPTIONS OF PRODUCTS OR SERVICES OFFERED BY EEZEEPAY MERCHANTS OR ANY MOBILE CARRIER FEES OR PENALTIES OR CARD ACCOUNT FEES ORPENALTIES THAT YOU INCUR AS A RESULT OF YOUR USE OF EEZEE PAY, INCLUDING ANYFEES AND PENALTIES THAT MAY RESULT FROM TRANSACTION REVERSALS.WE DO NOT EXCLUDE OR LIMIT IN ANY WAY OUR LIABILITYTO YOU WHERE IT WOULD BE UNLAWFUL TO DO SO. IN THOSEJURISDICTIONS, ALL OR A PORTION OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOUAND THE SCOPE AND DURATION OF THE INDEMNIFIED PARTIES’ WARRANTIES AND THEEXTENT OF THEIR LIABILITY WILL BE THE MINIMUM PERMITTED UNDER APPLICABLELAW.  NOTHING IN THESE TERMS SHALL AFFECT YOUR STATUTORY RIGHTS. 

19.Termination
·      Term andTerminationThese Terms will be effective until terminated asprovided in this Section 19. Upon notice, Seapen may suspend or terminate youruse of eeZee PAY, access to your eeZee PAY account, or your access or use ofany Payment Information in your eeZee PAY mobile application at any time, withor without cause, including in the event Seapen believes (i) your contactinformation is not up-to-date or you do not respond to communications directedto you; (ii) the information you have provided to obtain your eeZee PAY accountis false, inaccurate, not current, or incomplete; (iii) you are engaged inillegal activity; (iv) you have breached any of these Terms; or (v) your eeZeePAY account has been inactive for more than thirteen (13)months.  You may terminate these Terms with respect to eeZee PAY orfor any reason or no reason at all, at your convenience, by ceasing all use ofeeZee PAY and the Mobile App.·      Effect ofterminationUpon termination of these Terms for any reason, therights and licenses granted to you with respect to eeZee PAY and the Mobile Appwill immediately terminate and you will have to immediately cease all use ofeeZee PAY and the Mobile App. The terms, conditions, and warranties containedin these Terms that by their nature and context are intended to survive thetermination of these Terms will survive, including Section 5 (Use of YourPayment Information), Section 6 (Resolution of Transaction Issues), Section 10(Feedback), Section 11 (Ownership and Rights), Section 13 (Third Party Sites),Section 14 (Privacy), Section 15 (Your Representations), Section 16(Indemnification), Section 17 (Disclaimer of Warranties), Section 18(Limitation of Liability), Section 19 (Termination), Section 25 (GoverningLaw), Section 26 (Dispute Resolution and Arbitration), and Section 30(Assignment). Seapen will have no liability to you for any damages, loss ofprofits or other claims arising from the termination or suspension of youraccess to eeZee PAY.

Please go to the (Support) section on eeZee PAYMobile App or email Seapen Support at support@thepaymenthouse.com if you have any questions or difficultiesusing eeZee PAY. 21.NotificationsUnless provided otherwise by Seapen in connectionwith eeZee PAY, all notices required from you under these Terms must be sent tothe addresses specified by Seapen from time-to-time, in its sole discretion.You consent to receiving certain electronic communications from us as furtherdescribed in our Privacy Policy. Please read our Privacy Policy to learn moreabout our electronic communications practices. You agree that any notices,agreements, disclosures, or other communications that we send to youelectronically will satisfy any legal communication requirements, includingthat those communications be in writing. 22.Entire AgreementsThese Terms constitute the entire agreement betweenyou and Seapen with regard to their subject matter. 23.Relationship of partiesThese Terms do not create and must not be construedas creating a joint venture, co-ownership, partnership, or agency relationshipbetween you and Seapen.24. SeapenThird Party BeneficiariesYou acknowledge and agree that each affiliate andsubsidiary of Seapen is a third party beneficiary to these Terms and that Seapen’saffiliates and subsidiaries are entitled to directly enforce, and rely upon,any provision of these Terms which confers a benefit on (or provides rights infavor of) them. No other person or company is a third party beneficiary tothese Terms. 25.Governing LawIf you are using eeZee PAY as a consumer, theseTerms are governed by British, Norwegian and Swedish laws and you can bringlegal proceedings in respect of eeZee PAY in Great Britain, Norway and Sweden.If you are using eeZee PAY on behalf of a companyor other legal entity these Terms are governed by Norwegian laws. If a lawsuitor court proceeding is permitted under these Terms, then you and Seapen agreeto submit to the personal and exclusive jurisdiction of the state courts andfederal courts located within Oslo, Norway for the purpose of litigating anydispute. You agree that regardless of any statute or law to the contrary, anyclaim or cause of action that you may have arising out of or related to theseTerms must be filed within one (1) year after the claim or cause of actionarose. 26.Dispute resolution and arbitrationhis clause applies only if you are using eeZee PAYon behalf of a company or other legal entity·      GeneralIn the interest of resolving disputes between youand Seapen in the most expedient and cost effective manner, you and Seapenagree that every dispute arising in connection with these Terms will beresolved by binding arbitration. Arbitration is less formal than a lawsuit incourt. Arbitration uses a neutral arbitrator instead of a judge or jury, mayallow for more limited discovery than in court, and can be subject to verylimited review by courts. Arbitrators can award the same damages and reliefthat a court can award. This agreement to arbitrate disputes includes allclaims arising out of or relating to any aspect of these Terms, whether basedin contract, tort, statute, fraud, misrepresentation, or any other legaltheory, and regardless of whether a claim arises during or after thetermination of these Terms. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTOTHESE TERMS, YOU AND Seapen ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TOPARTICIPATE IN A CLASS ACTION.·      ExceptionsDespite the provisions of Section 26(a), nothing inthese Terms will be deemed to waive, preclude, or otherwise limit the right ofeither party to: (i) bring an individual action in small claims court; (ii)pursue an enforcement action through the applicable federal, state, or local agencyif that action is available; (iii) seek injunctive relief in a court of law; or(iv) to file suit in a court of law to address an intellectual propertyinfringement claim.·      ArbitrationAny arbitration between you and Seapen will besettled under the The Arbitration and Dispute Resolution Institute of the OsloChamber of Commerce, . Henrik Ibsens gate 100, 0255 Oslo, Norway, http://www.chamber.no.·      Notice;ProcessA party who intends to seek arbitration must first senda written notice of the dispute to the other party by certified Mail or byFederal Express (signature required) or, only if such other party has notprovided a current physical address, then by electronic mail (Notice). Seapen’s address for Notice is defined inSection 1. The Notice must: (i) describe the nature and basis of the claim ordispute; and (ii) set forth the specific relief sought (Demand). The parties will make good faith efforts toresolve the claim directly, but if the parties do not reach an agreement to doso within thirty (30) days after the Notice is received, you or Seapen maycommence an arbitration proceeding. During the arbitration, the amount of anysettlement offer made by you or Seapen must not be disclosed to the arbitratoruntil after the arbitrator makes a final decision and award, if any. If thedispute is finally resolved through arbitration in your favour, Seapen will payyou the highest of the following: (A) the amount awarded by the arbitrator, ifany; (B) the last written settlement amount offered by Seapen in settlement ofthe dispute prior to the arbitrator’s award; or (C) one thousand Euros (EUR1,000).·      FeesIf you commence arbitration in accordance withthese Terms, you hereby agree to cover the arbitrators filing fees and coverall your cost during the arbitration proceedings.·      No ClassActionsYOU AND Seapen AGREE THAT EACH MAY BRING CLAIMSAGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS APLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.Further, unless both you and Seapen agree otherwise, the arbitrator may notconsolidate more than one person’s claims, and may not otherwise preside overany form of a representative or class proceeding.·      Modificationsto this Arbitration ProvisionIf Seapen makes any future change to thisarbitration provision, other than a change to Seapen’s address for Notice, youmay reject the change by sending us written notice within thirty (30) days ofthe change to Seapen’s address for Notice, in which case your account with Seapenwill be immediately terminated and this arbitration provision, as in effectimmediately prior to the changes you rejected will survive.·      EnforceabilityIf Section 26.6 is found to be unenforceable or ifthe entirety of this Section 26 is found to be unenforceable, then the entiretyof this Section 26 will be null and void and, in that case, the parties agreethat the exclusive jurisdiction and venue described in Section 25 will governany action arising out of or related to these Terms.27.Waiver; invaliditySeapen’s failure or delay to exercise or enforceany right or provision of these Terms or any rights under applicable law willnot constitute a waiver of any of those provisions or rights. If any provisionof these Terms is found by an arbitrator or a court of competent jurisdictionto be invalid, the parties agree that the arbitrator or court will endeavour togive effect to the parties’ intentions as reflected in the provision, and theother provisions of these Terms will remain in full force and effect. 28. InterpretationThe section headings in these Terms are forconvenience only and have no legal or contractual effect. For purposes of theseTerms, (a) the words (include,) (includes) and (including) will be deemed to befollowed by the words (without limitation;”; (b) the words (such as), (forexample) (e.g.) and any derivatives of those words will mean by way of exampleand the items that follow these words will not be deemed an exhaustive list;(c) the word (or) is used in the inclusive sense of (and/or) and the terms(or,) (any,) and (either) are not exclusive; and (d) the singular includes theplural and the plural includes the singular. No ambiguity will be construedagainst any party based on a claim that the party drafted the language. 29.AssignmentYou may not assign or transfer your rights orobligations under these Terms. Any purported transfer or assignment inviolation of the foregoing will be invalid. 30.Force majeureSeapen will not be liable for any delay or failureto perform its obligations hereunder resulting from any cause beyond itsreasonable control, including without limitation, telecommunications, power orutility failures.

3Personal Data
We Collect and PresentWe collect Personal Data about you through our SeapenMobile Applications and in connection with your use of eeZee PAY.  Bypersonal data we mean (any information relating to an identified oridentifiable natural person.”The following sections provide a summary of:Personal Data collected through eeZee PAY Websites.Personal Data collected through eeZee PAY MobileApplicationPersonal Data that is automatically collectedthrough both eeZee PAY Websites and eeZee PAY mobile application. 3.1 Personal Data Collected through eeZee PAYWebsites3.1.1 Personal Data Provided By Your FinancialInstitutionsIn some instances, we may receive data about youfrom your financial institution in order to help ensure you provide the correcteeZee PAY account information.  For example, your financial institutionmay provide us with your email address or phone number.  This will be usedto help you create the appropriate eeZee PAY setup with a participating financialinstitution.3.1.2 Personal Data Provided By YouWhen you register to create any eeZee PAY accountor attempt to sign in to any eeZee PAY account through eeZee PAY portal, we mayask you for certain personal data, including email address, phone number andpayment card information.  The provision of this personal data isvoluntary.  However, withholding this personal data will mean that youcannot take advantage of eeZee PAY services.We use this data for the following purposes:When you click on the (Buy With eeZee PAY) buttonat a merchant or otherwise sign-up for or sign-in to eeZee PAY, you will beasked for certain personal data, such as your email or phone number.  Ifthe information you provide matches the information provided by your financialinstitution (see above), you may be directed to a specific eeZee PAY relatingto that financial institution.  We also use this information to helpenhance the security of eeZee PAY platform and reduce fraud.If you do not have an existing eeZee PAY account,we will ask you to provide the payment card you would like to use to complete atransaction.  We may use this information to determine if the applicablefinancial institution that issued your payment card has an eeZee PAYprogram.  If so, we will route to that wallet.  That information mayalso be used to create your eeZee PAY account.3.2 Personal Data collected through eeZee PAYMobile ApplicationWe collect data in a number of ways when you useeeZee PAY:  personal data provided by you; personal data provided byparticipating merchants; personal data provided by the issuer of your paymentcards or other financial institutions; and personal data provided by you inconnection with other Seapen eeZee mobile applications on your device. That data collection is described below.3.2.1 Personal Data Provided by YouIn connection with your use of eeZee PAY, we mayask you for certain personal data upon registration, or on applications formsor other forms, such as your name, home address, billing address, shippingaddress, telephone number, email address, national identity card number in someinstances, user name, password, answers to our security questions, loyalty cardinformation and payment card information. The provision of your personal datafor the purposes listed below is voluntary.  However, in somecircumstances, withholding your personal data will mean that you cannot takeadvantage of certain products or services.3.2.2 Personal Data Provided by ParticipatingMerchants in Connection with Your Use of eeZee PAYWe receive certain data from merchants about yourtransactions using eeZee PAY, including but not limited to, stock-keeping unitdata, description of items, quantity, price and subtotal and payment cardsregistered with eeZee PAY, merchant name, currency, amount, date and time oforder and information about whether or not the order was completed.  Ifyou have an account on file with the merchant, they may also provide us withyour shipping address.3.2.3 Personal Data Provided by the Issuer of YourRegistered Payment Card or Other Financial InstitutionWhen you register a payment card with eeZee PAY, wewill send information to the issuer of that card to validate the card,authenticate your identity and tokenize your payment credentials to make yourpayments more secure.  This information may include your name, paymentcard information, billing address, information about your mobile device andinformation about how you registered your payment cards in your eeZee PAYaccount. To facilitate the validation/authentication/tokenization process, wemay receive personal data about you back from the issuer of your payment cardcard.  In addition, when you make payments using tokenized credentialsvian eeZee PAY, we receive data about the token and the transaction back fromthe issuer of your payment card.3.3 Personal Data We Collect Automatically3.3.1 OverviewWe, and our service providers, may collect certaininformation by using automated means, such as cookies and web beacons, when youinteract with eeZee PAY, or visit eeZee PAY Websites, pages or other digitalassets. The information we collect in this manner may include: IP address,mobile device IP address, mobile device unique identifier, browser type andsetting data (such as screen resolution, color depth, time zone settings,browser extension and plugins, fonts, etc), operating system, referring URLs andinformation on actions taken or interaction with our digital assets. A (cookie)is a text file placed on a computer’s hard drive by a web server. A (webbeacon,) also known as an Internet tag, pixel tag or clear GIF, is used totransmit information back to a web server.This information is collected and used for thepurposes described in this Section and in Section 4, below.  In addition,this information will be used to enhance the security of eeZee PAY Websites,eeZee PAY, the Seapen network and to protect against and prevent fraud,unauthorized transactions, claims and other liabilities, and manage riskexposure and franchise quality.3.3.2 Browser DataIn addition to the above, we, and our serviceproviders, may automatically collect browser data from your device. Browserdata consists of information about settings on the configuration of the browseryou use to access eeZee PAY and eeZee PAY Websites. This may include screenresolution and color depth, time zone settings, browser extensions and plugs installedin the browser and versions thereof, fonts installed on the browser, the useragent string and other similar data. This data is used to create a uniquefingerprint of the browser used to access eeZee PAY Websites to remember thechoices made by that browser and to assist in preventing fraud and enhancingthe security of eeZee PAY, eeZee PAY Websites and the Seapen network. We mayoffer users of our eeZee PAY choices to opt-out of the collection andfingerprinting of browser data via our Cookie Consent Tool.3.3.3 De-Identified Data About Your eeZee PAYTransactionWe, and our service providers, may automaticallycollect de-identified data about transactions you make using your eeZee PAY,whether an eeZee PAY or an eeZee PAY offered through a financial institution orother party.  The information collected includes the name of the merchantand the transaction data and time.  This information is used to enhancethe security of eeZee PAY, eeZee PAY Websites and the Seapen Network.3.3.4 Third Party AnalyticsWe may use third-party web analytics services, suchas those of Adobe Omniture. The analytics providers that administer theseservices use technologies such as cookies and web beacons to help us analyzehow visitors use eeZee PAY and eeZee PAY Websites.  In eeZee PAY MobileApplication, you can turn off Adobe Omniture web analytics.3.3.5 Tailored AdvertisingWe, and our service providers, may also collectinformation about your interactions with eeZee PAY and eeZee PAY Websites foruse in providing you with content and advertising tailored to your individualinterests. We may also use your personal data and other information obtainedabout you from companies that use or facilitate the use of other Seapenproducts or services and from publicly available information systems to deliveradvertising and offers that may be of interest to you. You may see certain adson other websites because we (and our partners) use data collected via eeZeePAY and eeZee PAY Websites to customize advertisements to you on third-partywebsites. This collection and use allows us to target our messaging to usersthrough demographic, interest-based and contextual means. In connection withproviding you customized advertisements, third parties on our websites maytrack your online activities over time and across third-party websites bycollecting information through automated means, including through the use ofcookies, web server logs and web beacons. The information collected includesinformation about your visits to certain websites, the pages or advertisementsyou view and the actions you take on those websites. This data collection takesplace on eeZee PAY Websites, on third-party websites and it may take place oneeZee PAY Mobile App. This process also helps us track the effectiveness of ourmarketing efforts.3.3.6 Web Beacons and Email TrackingWhen we send emails to people with an eeZee PAYaccount account, we may track behavior such as who opened the emails and whoclicked the links. We do that to measure the performance of our emails and toimprove our features. To do this, we include single pixel gifs, also called webbeacons, in emails we send. Web beacons allow us to collect information aboutwhether an email has been opened and the number of clicks inside that email. Weuse the data from those Web Beacons to create the reports about how our emailcampaign performed and what actions individuals took within the email (e.g.links clicked). If you do not wish for us to track emails we send you, someemail services allow you to adjust your display to turn off HTML or disabledownload of images which should effectively disable our email tracking.3.3.7 Customized CheckoutWe may use information about your use of eeZee PAY,or which eeZee PAY account you use, in order to deliver you a customizedmerchant checkout experience.  After making an eeZee PAY transaction, wemay drop a cookie on your device that will provide a customized eeZee PAYcheckout button on merchant websites based on which eeZee PAY account you use,or, in some instances, which payment card you used for that transaction. This will deliver a more seamless consumer eeZee PAY experience. Merchants are not able to access this information. 

4 How WeUse the Personal Data We Collect
We may use the personal data we obtain about youto:Create, manage and personalize your online account(including providing you with a transaction history), provide our products andservices, and respond to your inquiries;Route you to the appropriate eeZee PAY servicebased on whether you have an existing eeZee PAY relationship or an existingbanking relationship with a participating issuer;Validate your payment card information,authenticate your identity with your bank and tokenize your payment credentialsto make your payments more secure;Provide a customized checkout experience;Create a view that shows you all of your eligibleeeZee PAY accounts, including an eeZee PAY account (if you have one), and eachaccount’s registered payment cards, when you click on the (Buy with eeZee PAY)button via a participating merchant’s mobile application;Provide reporting back to the issuer of yourenrolled payment cards and the merchants you transact with via eeZee PAY;Anonymize personal information and prepare andfurnish aggregated data reports showing anonymized information (including, butnot limited to, the following: compilations, analyses, analytical andpredictive models and rules, and other aggregated reports);Perform data analyses (including anonymization ofpersonal information) to determine, among other measurements, businessperformance, number of registrants, channels, transaction spend and siteperformance;Provide, administer and communicate with you aboutproducts, services and promotions (including contests, sweepstakes, programsand other offers), including the display of customized content and advertisingvia eeZee PAY and elsewhere online;Protect against and prevent fraud, unauthorizedtransactions, claims and other liabilities, enhance the security of eeZee PAY,eeZee PAY Websites, the Seapen network and manage risk exposure and franchisequality;Operate, audit, evaluate, monitor and improve ourbusiness and interactive assets (including by developing new products andservices; managing our communications; determining the effectiveness of andoptimizing our advertising; analyzing our products, services and websites;facilitating the functionality of our websites; and performing accounting,auditing, billing, reconciliation and collection activities);Assist third parties in the provision of productsor services that you request;Enforce our eeZee PAY account Consumer Terms ofUse;As may be required by applicable laws andregulations or requested by any judicial process or governmental agency havingor claiming jurisdiction over Seapen or Seapen’s affiliates;Comply with industry standards and our policiesWe also may use the information in other ways forwhich we provide specific notice at the time of collection. 

5Personal Data We Share
We do not sell or otherwise disclose personal datawe collect about you, except as described in this Privacy Notice or otherwisedisclosed to you at the time the data is collected.  In particular, yourpersonal data may be shared:Between Seapen and our affiliates in order toprovide eeZee PAY, eeZee PAY Websites and for the purposes described above.With merchants and their service providers toperform and/or facilitate payment card transactions (including via Near FieldCommunication (NFC) and other contactless payment technology), to ensure thesafety and security of those transactions (including card fraud detection andprevention), to resolve disputes, provide customer service, usage analysis andreporting and to provide eeZee PAY that you request.  Please note thatmerchants and their service providers may have their own privacy policiesgoverning how they use and disclose personal data. We recommend that you reviewprivacy policies of the companies you interact with to learn about theirpractices.In addition, If you elect to connect your accountto a merchant, we will provide personal data to that merchant in order topersonalize your shopping experience and/or facilitate faster check-outs. In such instances, merchants are not permitted to use your data for any otherpurpose.With financial institutions and their serviceproviders to perform and/or facilitate payment card transactions (including viaNear Field Communication (NFC) and other contactless payment technology), toensure the safety and security of those transactions (including card frauddetection and prevention), to authenticate and identity you and the paymentcards you register with eeZee PAY account, to tokenize your paymentcredentials, to resolve disputes, provide customer service, to provideenrolment and usage analysis and reporting and to provide eeZee PAY that yourequest.   Please note that your financial institution(s) and theirservice provider(s) may make other uses of your information, which may includemarketing to you based on your enrolment or use of their respective card in awallet or wallet related transaction. Such third parties may have their ownterms and privacy policies governing how they collect, use and disclosepersonal data. We encourage you to review such policies to ensure that youunderstand how these third parties use your information when you conductcertain activities with their card.With our respective service providers who performservices on our behalf. We do not authorize these service providers to use ordisclose the data except as necessary to perform certain services on our behalfor comply with legal requirements. We require these service providers bycontract to appropriately safeguard the privacy and security of personal datathey process on our behalf.With third parties including identity verificationservices, service providers, government entities, utilities, public records,credit bureaus, telecomm providers, property files and watch lists. By signingup for an eeZee PAY, you acknowledge that we may disclose to, third parties,from time to time, your account information such as your name, address, phonenumber, email in connection with the processing of identity or accountverification, fraud detection or as may otherwise be required by applicablelaw.In the event Seapen sells or transfers all or aportion of our respective business or assets. We will apply your preferences going forward. 7 How WeProtect Personal Data
We maintain appropriate administrative, technicaland physical safeguards to protect personal data against accidental or unlawfuldestruction, accidental loss, unauthorized alteration, unauthorized disclosureor access, misuse, and any other unlawful form of processing of the personaldata in our possession.  The types of measures we take vary with the typeof data, and how it is collected and stored.When you provide personal data online, we use theindustry standard for encryption on the Internet – Secure Socket Layer (SSL)technology – to help protect the data that you provide.  This Internetencryption standard scrambles data as it travels from your device to ourserver.  You will know that you are in a secure area of the Site when alock icon appears on your screen that the (http) prefix of our URL addresschanges to (https. (The (s) represents (secure).  We also use digitalcertificates to ensure that you are connected to the authentic Site.None of your payment card numbers or details arestored anywhere in our mobile application or transaction servers. Instead weuse encrypted tokens, references to your card details, that only can be used byyour account.Our back-end systems and servers are hosted onWindows Azure by Microsoft and utilizes the latest’s security and internetsafety features.We will never ask you for your password in anyunsolicited communication (including unsolicited correspondence, such asletters, phone calls or e-mail messages).  If you believe your user nameand password have been compromised, please contact us by following the instructionsprovided in the section (How to Contact Us) below.We also take measures to destroy or permanentlyde-identify personal data when there is no longer a business need to keep theinformation and in any case, for no longer than 13 months from the last timeyou have accessed your account. 

8 DataTransfers
We may transfer personal information to countriesother than the country in which the data was originally collected. On eeZee PAY Websites or via eeZee PAY, you maychoose to use certain features for which we partner with other entities orclick on links to other websites for your convenience and information. These features, which may include social networking and geographic locationtools, and other websites may operate independently from Seapen.  They mayhave their own privacy notices or policies, which we strongly suggest youreview.  To the extent any features or linked websites you visit are notowned or operated by Seapen, we are not responsible for the sites’ content, anyuse of the sites, or the privacy practices of the sites.

10Updates to Our Privacy Policy
This Privacy Policy may be updated periodically andwithout prior notice to you to reflect changes in our personal datapractices.  We will post a prominent notice on our websites to notify youof any significant changes to our Privacy Policy and indicate at the top of thenotice when it was most recently updated.  In addition, in the event of amaterial change to the Privacy Notice, you may be asked to reaccept the PrivacyNotice when signing into your account.
